Terms of Sale

1. Company Information
The Service is provided by WHIZY, SASU with share capital €1,000, SIREN 938 696 143, VAT FR58938696143, registered office: 12 RUE DE LA PART-DIEU, 69003 LYON, France. Contact: [email protected].
2. Service
iTranslator is a SaaS Discord bot providing automatic translation, transcription and audio generation. Access is via Discord OAuth and the website https://itranslator.app. Plans: free plan, monthly subscription, annual subscription.
3. Fair Use
Each paid subscription includes a fair use limit of 1,000,000 characters per month per subscription. We may monitor usage and temporarily limit, suspend or propose an enterprise plan if usage materially exceeds this limit or degrades the Service.
4. Prices and Taxes
Prices are displayed in Euro (EUR) ex VAT on the website. Applicable VAT is added at checkout according to the Client’s location. We may change prices at any time; changes do not affect an already-paid period.
5. Ordering
Subscription is made online via Stripe.
6. Duration & Renewal
Subscriptions run for the chosen period (month or year) and renew automatically for the same period unless cancelled. The Client may cancel at any time; cancellation takes effect at the end of the current paid period. No prior notice required.
7. Right of Withdrawal (EU Consumers)
Because the Service is fully performed digitally and consumable immediately (character usage has a cost), by purchasing the Client expressly requests immediate performance and acknowledges loss of the 14‑day right of withdrawal. Without this consent the Service would not start.
8. Payment & Invoices
Payment is collected in advance for each period via Stripe. Invoices are generated automatically and made available (e.g. PDF).
9. Suspension / Termination
Client may cancel as described above. We may suspend or terminate access immediately without notice in case of fraud, abuse, illegal use, security risk or breach of these Terms. If we terminate without cause we may refund the unused portion at our discretion.
10. Refunds
No automatic refunds. Any refund (full or partial) is granted solely at our discretion upon written request ([email protected]) and evaluated case‑by‑case.
11. Intellectual Property & Client Content
All rights in the Service (software, logo, brand) remain with WHIZY. Client content submitted for translation/transcription and the resulting outputs belong to the Client. The Client grants us a non‑exclusive licence to process such content solely to provide, secure and improve the Service (including anonymous caching). Prohibited: reselling the Service, reverse engineering, exploiting vulnerabilities, or using the Service to violate law.
12. Legal Warranty (EU Consumers)
EU consumers benefit from the statutory legal guarantee of conformity for digital content under French Consumer Code. These rights apply independently of any commercial guarantee.
13. Disclaimer & Limitation of Liability
The Service is provided “as is” without any SLA or guarantee of uninterrupted availability. To the maximum extent permitted by law, we exclude liability for indirect or consequential losses (lost profit, loss of data, business interruption). Our aggregate liability for any claim arising out of the Service shall not exceed the total amounts paid by the Client to us in the 12 months preceding the event. Nothing excludes liability for death or personal injury caused by negligence, fraud, gross negligence, or mandatory consumer rights.
14. Force Majeure
We are not liable for failure or delay caused by events beyond our reasonable control (e.g. power outage, network failure, fire, war, governmental action).
15. Data Protection
Processing of personal data is governed by our Privacy Policy available on the website.
16. Support
Support via email ([email protected]) and the official Discord server.
17. Governing Law & Jurisdiction
These Terms are governed by French law. For business Clients, exclusive jurisdiction lies with the courts of Lyon (France). Consumers may also bring proceedings before their local competent courts and may use the EU Online Dispute Resolution platform.
18. Changes
We may modify these Terms at any time. The updated version is posted on the website and applies upon publication. Continued use after changes constitutes acceptance.
19. Contract Language
The reference language of these Terms is English. Any translation is for convenience only.
